By creating an account, installing our Shopify app, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through the app. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services.

CryptoCheckout Pro provides a non-custodial cryptocurrency payment processing solution for Shopify merchants. Our services include:

• Native Shopify checkout integration via UI extensions
• Support for 6 cryptocurrency networks: Bitcoin, Ethereum, BNB Chain, Polygon, Base, and USDC
• Real-time cryptocurrency price feeds via CoinGecko API
• QR code payment generation
• Payment tracking and notifications
• Merchant dashboard for transaction management
• Non-custodial architecture ensuring direct payment to merchant wallets

We are a technology platform only. We do not custody, hold, or have access to your cryptocurrency funds at any time. All payments flow directly from customers to your configured wallet addresses.

As a user of CryptoCheckout Pro, you agree to:

• Provide accurate and complete wallet addresses for each cryptocurrency network you enable
• Maintain the security of your wallet private keys and recovery phrases (we never have access to these)
• Keep your account credentials secure and confidential
• Verify that you have full control and ownership of the wallet addresses you configure
• Comply with all applicable laws and regulations regarding cryptocurrency, taxation, and commerce in your jurisdiction
• Ensure your use of cryptocurrencies complies with Shopify's Terms of Service and Acceptable Use Policy
• Not use our services for any illegal, fraudulent, or unauthorized purposes
• Notify us immediately of any unauthorized use of your account or security breach

IMPORTANT: You are solely responsible for securing your wallet private keys. If you lose access to your wallet, we cannot recover your funds. We strongly recommend using hardware wallets or secure multi-signature solutions for storing significant amounts.

CryptoCheckout Pro offers the following pricing tiers:

Billing Terms:

• Monthly subscription fees are billed in advance on a recurring basis
• Transaction fees are calculated as a percentage of each cryptocurrency payment received
• All fees are exclusive of taxes, which will be added where applicable
• You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle
• Refunds are provided on a case-by-case basis within our 30-day money-back guarantee period
• We reserve the right to change pricing with 30 days' notice to existing customers

Network transaction fees (gas fees) are paid separately by your customers directly to the blockchain network and are not controlled or collected by CryptoCheckout Pro.

You agree NOT to use CryptoCheckout Pro for any of the following purposes:

• Illegal activities including money laundering, terrorist financing, or fraud
• Sale of illegal goods, weapons, drugs, or controlled substances
• Adult content, gambling, or services prohibited by law in your jurisdiction
• Ponzi schemes, pyramid schemes, or multi-level marketing that violates local laws
• Activities that violate sanctions, export controls, or other trade restrictions
• Infringing on intellectual property rights of others
• Hacking, phishing, or distributing malware
• Creating fake or fraudulent payment requests
• Reverse engineering, decompiling, or attempting to extract our source code
• Overloading or disrupting our infrastructure through excessive API calls or abuse

We reserve the right to immediately suspend or terminate accounts engaged in prohibited activities without notice or refund.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• No Custody: We are a non-custodial platform. We do not hold, custody, or have access to your cryptocurrency at any time. You are solely responsible for the security of your wallet private keys.
• Wallet Security: We are not liable for any loss of funds resulting from compromised wallets, phishing attacks, lost private keys, incorrect wallet addresses, or any other security failures on your part.
• Blockchain Network Issues: We are not responsible for blockchain network congestion, failed transactions, orphaned blocks, 51% attacks, hard forks, or any other blockchain-related issues beyond our control.
• Price Volatility: Cryptocurrency prices are highly volatile. We are not liable for any losses due to price fluctuations between the time of order and payment confirmation.
• Third-Party Services: We integrate with third-party services (CoinGecko, Shopify, blockchain explorers). We are not responsible for failures, inaccuracies, or issues with these services.
• Tax Obligations: You are responsible for determining and paying all applicable taxes. We do not provide tax advice.
• Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for damages from service downtime.
• Maximum Liability: Our total liability for any claims arising from your use of our services shall not exceed the fees you paid to us in the 12 months preceding the claim.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL CRYPTO CHECKOUT PRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

You agree to indemnify, defend, and hold harmless CryptoCheckout Pro, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use or misuse of our services
• Your violation of any laws or third-party rights
• Disputes between you and your customers
• Loss of cryptocurrency due to wallet compromise or user error

Your Right to Terminate: You may cancel your account at any time through the dashboard or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Our Right to Terminate: We reserve the right to suspend or terminate your account immediately if:

• You violate these Terms or our policies
• We suspect fraudulent, illegal, or suspicious activity
• You fail to pay fees owed
• We are required to do so by law or court order
• We discontinue the service (with 30 days' notice)

Upon termination, your access to the service will cease, but you will retain access to your transaction history for record-keeping purposes. We do not have custody of your funds, so termination does not affect cryptocurrency already in your wallet.

All intellectual property rights in our services, including but not limited to software, code, designs, logos, trademarks, and documentation, are owned by CryptoCheckout Pro or our licensors.

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse engineer any part of our services.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We are GDPR compliant and respect your data rights. We do not sell your personal information to third parties.

Wallet addresses are stored encrypted. We never have access to your private keys or seed phrases.

Our platform integrates with the following third-party services to provide its functionality:

Payment & Billing Services

• Stripe: We use Stripe for processing subscription payments and billing. Stripe handles all credit card transactions securely. Your payment information is subject to Stripe's Terms of Service and Privacy Policy (stripe.com/privacy).
• Shopify: Our app integrates with Shopify's platform for order management and checkout functionality. Subject to Shopify's Terms and Privacy Policy (shopify.com/legal).

Blockchain Networks

• Ethereum: Via Alchemy and direct RPC nodes for payment monitoring and transaction verification.
• Polygon (POL): Via Alchemy for layer-2 payment processing with lower fees.
• Base: Via Alchemy for Coinbase's layer-2 network support.
• BNB Chain: Via BSCScan API and direct RPC nodes (bsc-dataseed.binance.org) for transaction monitoring.
• Bitcoin: Via BlockCypher API for Bitcoin payment confirmation and webhook notifications.

Data Services

• CoinGecko: We use CoinGecko API for real-time cryptocurrency price data and exchange rates. Price data may have slight delays or inaccuracies.
• CoinCap: Alternative price feed for redundancy and accuracy verification.

Infrastructure

• Railway: Our application is hosted on Railway's cloud infrastructure.
• SendGrid: For transactional email notifications (payment confirmations, alerts).

We are not responsible for the availability, accuracy, or security of these third-party services. Their use is subject to their respective terms and privacy policies.

Informal Resolution: If you have a dispute, please contact us first at support@cryptocheckoutpro.com. We will attempt to resolve disputes informally within 30 days.

Arbitration: If informal resolution fails, any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place remotely via video conference.

Class Action Waiver: You agree to resolve disputes on an individual basis only, and not as part of a class action or representative proceeding.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal actions or proceedings arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CryptoCheckout Pro.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.

Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet outages, or government actions.
